DealProbe is a software tool that organizes deal information and surfaces the questions and documents a buyer should be asking a broker before signing a letter of intent. It does not deliver, and must not be relied upon as, any of the following:
- Legal advice, opinion, or representation.
- Accounting or tax advice, opinion, or audit.
- A Quality of Earnings (QoE) engagement or certified financial statement.
- A business valuation, appraisal, or fairness opinion.
- Lending, credit, or underwriting advice, including SBA financeability determinations.
- Investment advice or a recommendation to buy, sell, or hold any business or security.
What DealProbe outputs mean
GREEN, YELLOW, RED, and UNKNOWN reflect the evidence you have provided and the deterministic logic applied to it. RED does not mean the seller is wrong or acting in bad faith; it means the claim or add-back should not be relied upon without additional verification. GREEN does not mean the item is correct in absolute terms; it means the evidence provided reasonably supports the underlying claim.
Scenario math is arithmetic, not verdicts
Scenario SDE, implied multiples, and illustrative debt service are deterministic calculations based on the inputs you accepted. They do not indicate whether a price is fair, cheap, expensive, financeable, bankable, or SBA-approvable, and DealProbe does not offer those labels.
Your professionals still matter
Before signing a letter of intent, wiring earnest money, or committing to purchase a business, you should engage qualified CPAs, attorneys, and lenders to independently verify the deal and advise you on your specific situation. DealProbe is intended to make those engagements sharper and better prepared, not to replace them.
Confidential information
Only submit information and documents you are authorized to share. NDAs between you and the seller or broker may restrict what can be pasted or uploaded. You are responsible for compliance.
Limitations of automated extraction
Where document extraction (OCR / PDF parsing) is available, it may be incomplete or incorrect. You must confirm every extracted value on the WE FOUND screen before analysis runs. Silent reliance on unverified extraction is not supported.
No guarantee of accuracy or outcomes
Analyses depend on the accuracy and completeness of the data supplied. DealProbe does not guarantee that outputs are free of error, and no user should treat any DealProbe output as sufficient basis, standing alone, for a purchase decision.
